Holders of the 10½% Senior Secured Notes due 2019 (the "Senior Secured Notes") issued by Houghton Mifflin Harcourt Publishers Inc. and Houghton Mifflin Harcourt Publishing Company (together, "HMH"), prospective investors who certify to HMH that they are "qualified institutional buyers" (as defined in Rule 144A under the Securities Act of 1933, as amended), security analysts who certify to HMH that they are reputable security analysts who regularly cover or intend to cover HMH and the Senior Secured Notes, and market makers who certify to HMH that they are reputable market makers who regularly make or intend to make a market in the Senior Secured Notes, may obtain access to the password protected online data room on which HMH provides annual and quarterly reports and certain other information relating to its business, in accordance with the indenture relating to the Senior Secured Notes, by completing the linked form (the "Certification") and sending the duly completed and signed Certification by email to:Investors@hmhpub.com
